Boilerplate Clauses in Commercial Contracts

Rules promulgated by both courts and legislatures dictate how common contractual provisions must be written in order to be effective. In this webinar, you’ll learn how to draft “boilerplate” contract provisions that have the effect you intended, and avoid contract drafting pitfalls. Among other things, you’ll learn how to:

  • Draft a limitations of liability clause that will be effective, including:
    • How substituted remedies clauses are commonly misdrafted because the drafters weren’t aware of the presumption of cumulative remedies
    • How substituted contractual remedies “fail of their essential purpose”—and drafters lose the contract’s critical exclusion of consequential damages
    • How courts invalidate some limitations of liability provisions because they are drafted too well—and don’t provide the non-breaching party an adequate remedy
  • Draft a liquidated damages provision that won’t be construed as an unenforceable penalty
  • Avoid the drafting landmines associated with choice of law and choice of form provisions, including:
    • How they are often drafted too narrowly to encompass the claims that arise between the parties
    • How drafters inadvertently agree to abide by the United Nations Convention on Contracts for the International Sale of Goods (CISG) because they don’t know how to opt out of it
  • Draft warranty provisions that extend the warranty to future performance and delay the running of the statute of limitations
  • Draft enforceable anti-assignment clauses and no-third-party beneficiary clauses
  • Negate invisible terms such as trade usage, course of dealing, and course of performance
  • Draft pre-printed terms and conditions that will “win” the “battle of the forms” every time, at least for your buyer client
  • Draft effective no-oral modification clauses
  • Draft an effective clause that modifies the statute of limitations
  • Draft routine clauses—recitals, notice, effective date—that won’t backfire on your client

About the Presenter
